Legal
Terms and Conditions
The rules that govern your use of the SiteOptimised platform.
Last updated: 1 October 2025 · Effective: 1 October 2025
1. About these terms
These Terms and Conditions ("Terms") form a legally binding agreement between SiteOptimised Pty Ltd (ACN applied for) ("SiteOptimised", "we", "us") and you ("you", "your") when you use the SiteOptimised platform at siteoptimised.com (the "Platform").
By creating an account, running a free audit, or otherwise accessing the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
These Terms are governed by the laws of New South Wales, Australia. The Australian Consumer Law (ACL) applies and nothing in these Terms limits rights you have under it.
2. The Platform
SiteOptimised provides two core products:
- AI Visibility Audit - audits your website across ChatGPT, Perplexity, Google AI Overviews, and technical AEO/GEO signals, scoring visibility from 0–100 with a prioritised fix plan.
- SEO Audit - audits on-page SEO, backlinks, keyword presence, and AEO/GEO on-page signals.
The Platform also includes a Growth hub with rank tracking, competitor analysis, AI share-of-voice monitoring, site crawl, opportunity briefs, and change-log features, subject to your subscription plan.
2.1 Free audit
A free, one-off AI Visibility Audit is available without creating an account. The free audit provides a summary score and limited signal detail. Creating an account unlocks full reports, score history, and ongoing tracking.
2.2 No account required for free audit
When you run a free audit you provide your website URL and email address. By doing so you consent to receiving the audit report by email and, where permitted by applicable law, occasional product update emails. You may unsubscribe at any time.
3. Accounts
3.1 Registration
To use paid or advanced features you must create an account with a valid email address and a secure password, or authenticate via Google Sign-In. You must be at least 18 years old and have the authority to bind any business on whose behalf you register.
3.2 Account security
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorised access.
3.3 Accurate information
You agree to provide accurate, current information and to update it as necessary. We may suspend or terminate accounts with false or misleading registration details.
3.4 One account per business
Each subscription covers a single client account and the websites added to it. You must not share credentials across unrelated businesses or use one account to audit websites you do not own or are not authorised to represent.
4. Subscriptions and billing
4.1 Plans
Paid plans are priced per website, per month. Every paid plan is uncapped on the number of websites - add as many as you need, each billed at that plan's per-site rate. Current prices are displayed at /pricing and are denominated in AUD including GST.
4.2 Payment
Subscriptions are billed monthly in advance via Stripe. By subscribing you authorise Stripe to charge your nominated payment method on a recurring basis. We do not store your card number - Stripe handles all card data under their own PCI-DSS compliance program.
4.3 Adding websites
You may add additional websites to your subscription at any time. New sites are pro-rated and billed immediately on an invoice basis.
4.4 Removing websites
Reducing your website count is handled by our support team. Contact [email protected]. Websites over your plan allowance are paused (not deleted) - their history and PDF reports remain accessible but new audits and AI runs are suspended until the count returns to your allowance.
4.5 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You retain full access until that date. We do not issue pro-rata refunds for unused days in the current period, except where required by Australian Consumer Law.
4.6 Price changes
We may change subscription prices with 30 days' notice by email. Continued use after the notice period constitutes acceptance. If you do not accept the new price, you may cancel before the change takes effect.
4.7 Free trial
There is no free trial for paid plans. The free AI Visibility Audit (no account required) is the intended starting point.
4.8 Taxes
Prices are inclusive of 10% GST for Australian customers. Customers outside Australia are billed exclusive of GST; any local taxes are your responsibility.
5. AI credits
Certain features (AI share-of-voice queries, answer-engine analysis) consume AI credits from your plan's monthly pool. Credits are measured against a fresh pool each calendar month; unused credits do not roll over. The platform operates in Warn mode - credits are measured and recorded, and no run is blocked unless and until enforcement is switched on. We will notify you before switching to enforcement mode.
Admin users acting on behalf of a client account do not consume the client's credits.
6. Acceptable use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:
- Audit websites you do not own or have no authorisation to represent.
- Use the Platform to scrape, reproduce, or commercialise AI-generated responses in a manner that violates the terms of the underlying AI providers (OpenAI, Perplexity, Google).
- Attempt to reverse-engineer, decompile, or extract the source code of the Platform.
- Introduce malware, viruses, or code designed to disrupt the Platform.
- Submit false, misleading, or fraudulent information.
- Use automated scripts or bots to interact with the Platform beyond what is reasonably required to use it as a normal subscriber.
- Resell or sublicense access to the Platform without our written consent.
- Circumvent any usage limits, access controls, or security features.
We may suspend or terminate your account immediately for a material breach of this section.
7. Intellectual property
7.1 Our IP
The Platform - including its software, design, scoring methodology, prompt packs, and content - is owned by SiteOptimised or its licensors and is protected by Australian and international intellectual property law. Nothing in these Terms transfers any ownership of our IP to you.
7.2 Your IP
You retain ownership of your website content, brand, and data. By using the Platform you grant us a limited, non-exclusive, royalty-free licence to crawl, process, and analyse your website content solely to deliver the Platform features you request.
7.3 Your reports
Audit reports, PDF exports, and Growth hub outputs generated for your account are yours. You may use them for your own business purposes without restriction.
7.4 Aggregate data
We may use aggregated, anonymised, non-identifiable data derived from platform usage (e.g. "average AI visibility scores across Australian retail SMBs") for benchmarking, research, and marketing purposes.
8. Third-party services
The Platform integrates with third-party services including OpenAI, Perplexity, Google, SerpAPI, Stripe, Ahrefs, Semrush, DataForSEO, Cloudflare, Apify, BrightData, and others. These services are subject to their own terms. We are not responsible for the accuracy, availability, or conduct of third-party APIs. If a third-party API changes or becomes unavailable, affected features may be degraded or removed - this does not entitle you to a refund unless the degradation is material and persists for more than 14 days.
AI-generated audit data (ChatGPT citations, Perplexity mentions, Google AI Overview presence) reflects the state of those platforms at the time of the query. AI platform behaviour changes frequently and we cannot guarantee that scores or mentions remain stable between audit runs.
9. Disclaimers
The Platform is provided on an "as is" and "as available" basis. To the extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
In particular:
- Audit scores and recommendations are informational only and do not guarantee any improvement in AI visibility, search ranking, or business outcomes.
- We do not guarantee uninterrupted or error-free access to the Platform.
- AI engines (ChatGPT, Perplexity, Google) are controlled by third parties. Their ranking criteria, citation behaviour, and access policies change without notice. We cannot guarantee that fixing the issues we identify will result in AI citations.
- Competitor data and third-party website data retrieved by the Platform is for informational purposes only and may not be accurate or current.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee under the Australian Consumer Law that cannot legally be excluded.
10. Limitation of liability
To the maximum extent permitted by law, our total liability to you arising from or relating to these Terms or the Platform - whether in contract, tort (including negligence), statute, or otherwise - is limited to the total subscription fees you paid in the 12 months preceding the event giving rise to the claim.
We are not liable for any:
- Loss of revenue, profit, business, or goodwill.
- Loss of data (beyond reasonable backup and recovery efforts).
- Indirect, consequential, incidental, or punitive damages.
- Losses arising from your reliance on AI-generated audit recommendations.
Where the ACL implies a guarantee that cannot be excluded, our liability is limited (to the extent permitted) to re-supplying the relevant services.
11. Indemnity
You agree to indemnify and hold harmless SiteOptimised and its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your breach of these Terms.
- Your violation of any applicable law or third-party right.
- Content or data you provide to or through the Platform.
12. Suspension and termination
12.1 By you
You may close your account at any time via account settings or by emailing [email protected]. On closure, your data is retained for 30 days (for recovery) and then permanently deleted, except where retention is required by law.
12.2 By us
We may suspend or terminate your account if you breach these Terms, fail to pay subscription fees after a grace period, or if we are required to do so by law. For non-payment, we will give you at least 7 days' notice before suspension. For a material breach of Section 6 (Acceptable Use), we may act immediately.
If we terminate your account without cause, we will refund the unused pro-rata portion of your current billing period.
13. Privacy
Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms.
14. Managed services
Managed AI visibility retainer services (one-off audits, GEO content strategy, done-for-you implementations) are subject to a separate written service agreement. In the absence of such an agreement, these Terms apply to the extent relevant.
15. Changes to the Platform and these Terms
We may update the Platform, add or remove features, and change these Terms at any time. For material changes to Terms affecting your rights, we will give at least 14 days' notice by email. Continued use after notice constitutes acceptance. For non-material changes (e.g. clarifications, formatting), we may update these Terms without prior notice.
16. Governing law and disputes
These Terms are governed by the laws of New South Wales, Australia. Any dispute will first be addressed by good-faith negotiation. If negotiation fails within 30 days, disputes will be submitted to the courts of New South Wales, to whose jurisdiction you irrevocably submit.
Nothing prevents either party from seeking urgent injunctive relief from any court of competent jurisdiction.
17. General
- Entire agreement: These Terms (together with the Privacy Policy and any executed service agreement) constitute the entire agreement between us regarding the Platform.
- Severability: If any provision is unenforceable, it will be severed and the remaining provisions continue in full force.
- Waiver: A failure to enforce any right is not a waiver of that right.
- Assignment: You may not assign your rights under these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure: We are not liable for delays or failures caused by circumstances outside our reasonable control (including third-party API outages, internet disruption, or natural events).
- Notices: Notices to you will be sent to the email address on your account. Notices to us should be sent to [email protected].
